  • the provision of information, resources, and legal documents;
  • access to the Newerly platform for authorized customers.

Newerly is a B2B CRM and marketing automation solution structured into two distinct and complementary components:

  • a Newerly Platform component;
  • a Newerly Professional Services component.

Depending on the applicable contractual scope and features activated, the solution may notably include automations, integrations, communications (calls and SMS), as well as certain artificial intelligence features, including an automated voice agent.

Services reserved for professionals (B2B): the Newerly solution and associated services are intended exclusively for professional customers acting within the scope of their professional activity.

5. WEBSITE ACCESS

Access to the website is free, excluding connection and internet network access costs, which remain the user's responsibility.

The publisher may interrupt, suspend, or limit access to all or part of the site at any time, notably for maintenance, update, security, technical evolution, operational constraint reasons, or for any other legitimate reason.

6. CONTRACTUAL DOCUMENTS

The use of the website and, where applicable, the Newerly solution, is governed by the applicable documents, namely:

  • the Newerly General Terms and Conditions (T&Cs);
  • the Privacy Policy;
  • the Cookie & Tracker Policy;
  • any annex, special condition, quote, purchase order, or applicable agreement;
  • and, where applicable, a Data Processing Agreement (DPA).

The contractual documents applicable to the relationship with the Customer notably specify the division between:

  • the Newerly Platform component;
  • the Newerly Professional Services component;
  • as well as the scope of services, the division of responsibilities, and the corresponding billing methods.

In the event of a conflict, the contractual documents applicable to the relationship with the Customer shall prevail with regard to the provision of services.

8. LIABILITY

The publisher strives to provide the website with information that is as accurate, clear, and up-to-date as possible. However:

  • the information provided on the website is for informational purposes only;
  • the publisher does not guarantee completeness, permanent updating, or the absence of errors, omissions, or unavailability;
  • the operation of the website may be affected by interruptions, anomalies, maintenance operations, technical constraints, or external events.

The user remains solely responsible for the use they make of the information accessible on the website.

The publisher's liability for services provided via the Newerly solution is exclusively governed by the T&Cs, the quote, the purchase order, the special conditions, and, where applicable, the applicable contractual documentation.

9. HYPERLINKS

The website may contain links to third-party websites, content, services, or resources.

The publisher exercises no control over these external elements and declines all responsibility for their content, availability, security, lawfulness, privacy policies, practices, or terms of use.

The inclusion of such links does not constitute a recommendation, validation, or endorsement by the publisher.

10. PERSONAL DATA (GDPR) — SUMMARY INFORMATION & CONTACT

The modalities for the collection and processing of personal data are described in the Privacy Policy accessible on the website and, where applicable, in the applicable contractual documentation, including the DPA.

GDPR Roles

Newerly acts as a data controller for its own processing, particularly concerning:

  • website management;
  • contact or demonstration requests;
  • client account management;
  • support;
  • security;
  • and, where applicable, billing.

When the Newerly solution is used by a Customer to process lead, prospect, or end-client data as part of their campaigns, pipeline, communications, or commercial operations, the Customer acts as a data controller and Newerly intervenes as a data processor, on documented instructions and within the limits set by the applicable contractual documentation.

As part of Newerly's operational organization, necessary access to this data for the execution of services under the Platform component or the Professional Services component is governed by the applicable contractual documentation, the granted permissions, confidentiality commitments, and security measures in place.

11. COOKIES & TRACKERS

The rules relating to the use of cookies and other trackers, as well as consent management where required, are described in the Cookie & Tracker Policy accessible on the website.

12. TECHNICAL PROVIDERS & TRANSFERS OUTSIDE THE EUROPEAN ECONOMIC AREA

The Newerly solution relies on technical and operational providers necessary for its functioning, including hosting, communications, artificial intelligence services, integrations, maintenance, support, or certain features connected to third-party services used by the Customer.

Information regarding the corresponding data processing can be found in the Privacy Policy and, where applicable, in the applicable contractual documentation, including the DPA and the list of related sub-processors or providers where one exists.

When personal data is likely to be processed outside the European Economic Area, Newerly applies the appropriate transfer mechanism to the specific case, such as an adequacy decision when applicable, or appropriate contractual guarantees supplemented, when required, by complementary technical, organizational, or contractual measures.

The exact mechanism utilized may depend on the specific provider, their location, the service setup, and the activated features.

13. DISTINCT SERVICES & SEPARATE INVOICING

The Newerly service is based on a contractual and operational structure in two distinct and complementary components:

  • a Newerly Platform component, corresponding to the license, subscription, access to the platform, and its operation;
  • a Newerly Professional Services component, corresponding notably to onboarding, integration, configuration, training, operational support, advertising marketing, maintenance, or reinforced support.

The Newerly Platform component is provided and invoiced by Mr. Samy BOUSSOUF, Individual Entrepreneur.

The Newerly Professional Services component is provided and invoiced by Mr. Adel BELGROUN, Individual Entrepreneur, according to the terms specified in the applicable contractual documents.

The Newerly commercial relationship incorporates this dual-billing organization, with each component generating its own invoice according to the scope stated in the quote, the purchase order, special conditions and, more generally, the applicable contractual documents.

The exact scope of the services, deliverables, intervention methods, deadlines, financial conditions, support, and allocation of responsibilities are detailed in the applicable contractual documents.

The provider in charge of the Newerly Platform and the provider in charge of the Newerly Professional Services are legally distinct actors. Each acts in their own name, invoices their own scope, bears their own obligations, and is solely accountable for the services they execute.

Their joint intervention within the Newerly solution does not, in itself, establish a general joint liability, indivisibility, general mandate, or joint responsibility beyond what arises from the applicable contractual documents and mandatory legal rules.

When access to the platform or to data is necessary to execute the Newerly Professional Services, this access takes place to the extent necessary to perform the concerned service, subject to appropriate permissions, confidentiality requirements, suitable security safeguards, and, where personal data is involved, compliance with the applicable contractual documentation.

The Newerly T&Cs remain applicable to the Newerly Platform component. The services falling under the Newerly Professional Services component are governed by the contractual documents relevant to this component.
